Latham’s Rome office, in concert with attorneys practicing in Milan, regularly represents large and mid-sized Italian and international companies and financial institutions doing business throughout Italy. Our Italian practice lawyers, qualified to practice under Italian, English and US law, handle capital markets, mergers and acquisitions, private equity, leveraged finance, insolvency and restructuring and real estate transactions, and also advise Italian and international clients on general corporate, Italian administrative law and antitrust matters.
Our group has extensive experience with both in-bound and out-bound Italian mergers and acquisitions. Cross-border mergers and acquisitions transactions include private, public and private-equity backed acquisitions, advice on extending European-based tender offers to the US market, and arranging public and private financing of such transactions. Our real estate lawyers advise Italian and international lenders, developers, investors, borrowers, property owners and tenants on an extensive range of real property transactions. With respect to capital markets, the Italian team’s experience spans transactions registered with the SEC or done under Rule 144A and Regulation S or as private placements, including initial public offerings and secondary equity offerings as well as debt offerings, high yield bonds, Eurobonds and investment grade bonds and US private placements notes.
The Italian practice also includes a strong Bank Finance practice. The team has represented various Italian banks and companies on a range of matters, including leveraged and bridge financings, insolvency and restructuring, and integrated bank and bond products such as senior, subordinated and mezzanine debt transactions. Our lawyers also have experience in project development and finance, primarily through representation of project lenders, sponsors and developers of alternative energy projects, including cogeneration facilities and power production facilities (e.g., geothermal, wind, solar, biomass and waste-to-energy). In addition, the Italian offices has an administrative law practice which represents private and public companies before administrative law courts with wide-ranging experience advising companies and financial institutions in all aspects of complex energy, real estate and infrastructure projects, including the development and permitting process, litigation counsel on administrative law and legal compliance issues, legal diligence and opinions on public law matters, public regulations across highly-regulated sectors as well as environmental authorizations and public procurement matters.
The Italian offices incorporate an antitrust group which is an integral part of the firm’s global Antitrust and Competition Practice. Over the past years, the firm has represented a number of large Italian and foreign companies before the European Commission, the Autorità Garante della Concorrenza e del Mercato, and the Autorità per le Garanzie nelle Comunicazioni, as well as before Italian courts and the European Community Courts.
